By engaging ZRP Link ("we", "us", "our") for automation services, you ("Client") agree to these Terms of Service. These terms govern all services provided by ZRP Link to the Client.
ZRP Link provides custom automation systems for small and mid-sized businesses. The specific scope of services, deliverables, and timelines for each engagement are defined in a separate Service Agreement between ZRP Link and the Client. The specific data requirements, integrations, and technical dependencies for each automation service are documented in the applicable Service Agreement.
ZRP Link may offer a no-cost pilot period to new clients. During the pilot:
Services are provided at no charge for the agreed pilot duration
The Client agrees to participate actively, including completing onboarding steps and providing honest feedback
Either party may end the pilot at any time with 7 days written notice
At the end of the pilot, continued use of the service requires a paid Service Agreement
Fees and payment terms are defined in the Service Agreement. Where not otherwise specified:
Fees are billed monthly in Canadian dollars
Payment is due within 14 days of invoice
Late payments may result in suspension of services
ZRP Link reserves the right to adjust fees with 30 days written notice
Either party may cancel the service agreement with 30 days written notice. Cancellation requests must be submitted to legal@zrplink.com. Upon cancellation:
Services will continue through the end of the notice period
All Client data will be deleted from ZRP Link infrastructure within 30 days of termination
Prepaid fees are non-refundable unless otherwise agreed in writing
ZRP Link reserves the right to terminate services immediately and without notice in the following circumstances:
Non-payment of outstanding invoices after 30 days
Misuse of the service or violation of these terms
Use of the service for unlawful purposes
Actions that put ZRP Link infrastructure or other clients at risk
The Client agrees to:
Provide accurate information required to configure and operate the automation service
Complete required onboarding steps in a timely manner (including DNS changes, OAuth authorization, or other setup tasks)
Ensure their use of the service complies with applicable laws including privacy legislation governing their own clients' data
Notify ZRP Link promptly of any changes that may affect the operation of the service
Data collection and handling is governed by our Privacy Policy at site.zrplink.com/privacy. The Client is responsible for ensuring they have appropriate consent from their own clients to send automated communications on their behalf.
All automation systems, code, and tooling developed by ZRP Link remain the intellectual property of ZRP Link. The Client receives a non-exclusive license to use the service for the duration of the Service Agreement. This license does not transfer ownership of any underlying systems.
To the maximum extent permitted by law:
ZRP Link's total liability for any claim arising from these terms or the services provided shall not exceed the total fees paid by the Client in the 3 months preceding the claim
ZRP Link is not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption
ZRP Link is not liable for failures caused by third-party services (Microsoft, Supabase, AWS) or actions taken by the Client or their clients
ZRP Link will provide services with reasonable skill and care. We do not warrant that the service will be uninterrupted or error-free. No other warranties, express or implied, are provided.
Both parties agree to keep confidential any non-public information received from the other party in connection with the services. This obligation survives termination of the Service Agreement.
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Alberta.
In the event of a dispute arising from these terms or the services provided, both parties agree to attempt resolution in good faith through direct communication before pursuing any legal or formal proceedings.
ZRP Link is not liable for any failure or delay in providing services caused by circumstances beyond our reasonable control, including but not limited to outages or failures of third-party infrastructure providers (Microsoft, AWS, Supabase), natural disasters, or other events outside our control.
The Client agrees to indemnify and hold harmless ZRP Link from any claims, damages, or expenses (including legal fees) arising from the Client's misuse of the service, violation of these terms, or breach of applicable laws in connection with their use of the service.
ZRP Link may update these terms with 30 days written notice to active clients. Continued use of the service after that date constitutes acceptance of the updated terms.
